2. Scope of Services

Our core service is website design and development. Depending on what is agreed in writing, we may also provide:

• Branding & Identity
• Website Development
• SEO Optimization
• AI Chatbot Integration
• Other custom digital marketing solutions

3. Use of Website

• You may use this website for lawful purposes only.
• You agree not to misuse, copy, or distribute content without permission.

4. Engagement & Contracts

• Services are provided based on individual agreements between Lumenatio and the client.
• Pricing, timelines, and deliverables are specified in project proposals or contracts.
• Before any engagement, we may prepare an exploratory initial website concept based on the brief you send us by email: company information, services, usable photos, and optional style preferences.
• The initial concept and the itemised quote are provided for evaluation only and create no obligation to purchase. The full build and the agreed revision rounds begin only after you accept the quote in writing.
• An exploratory concept is not a commissioned deliverable and does not transfer ownership or usage rights. Commissioned deliverables are only those defined in the accepted quote or contract.
• These terms do not change existing agreements, contracts, or subscriptions retroactively.
• Work commences after written agreement and, if applicable, initial payment.

5. Payments & Pricing

• All fees are agreed in advance and invoiced accordingly. Website and digital service prices are in Euros (EUR / €), unless a different currency is explicitly stated in the accepted quote. The Cleveland research pilot is displayed in US dollars (USD); its final currency and total are confirmed in writing in the accepted quote.
• Listed website and monthly prices exclude VAT. VAT is added where applicable, and applicable VAT and the final total are itemised in your written quote before acceptance. Existing agreements and subscriptions remain unchanged.
• Lumenatio managed hosting is optional, starting at 9 €/month, excluding VAT. You are free to use your existing hosting or arrange compatible hosting and a developer of your choice. No website package requires Lumenatio hosting.
• Add-ons and monthly allowances are as stated in your project proposal. Unused monthly allowance does not roll over, and new pages, redesigns, and integrations are quoted separately.
• Ownership, source code export and third-party licences are set out in section 8 (Intellectual Property) below.
• Payments must be made as per agreed terms.

6. Limitation of Liability

• Lumenatio is not liable for indirect or consequential damages.
• We do not guarantee specific financial outcomes from marketing campaigns.
• Our responsibility is limited to the scope of agreed services.

7. Termination

• Either party may terminate cooperation with written notice as per the contract terms. No notice period, refund arrangement or service level is implied beyond what is agreed in writing.
• Where managed hosting applies, the hosting end date, cancellation notice and handover arrangements are confirmed in writing before acceptance. Hosting ends on the agreed date, and using the website elsewhere requires deployment to be arranged so that service is not interrupted.
• Ending managed hosting does not revoke paid deliverables or the client's entitlement to request the exported website source code.
• Completed work up to termination remains billable.

8. Intellectual Property

• Unless otherwise agreed, all project deliverables remain the property of Lumenatio until full payment is received.
• After full payment, the client owns the commissioned website deliverables to the extent transferable. Third-party software, assets and fonts retain their own licences, and those licences are not transferred by us.
• Exported website source code is included on request after full payment. Third-party software, assets and fonts keep their own licences, and export does not move hosted forms, databases, email, analytics or accounts. Deployment elsewhere, service migration, reconnecting third-party services and ongoing support are organised and quoted separately. Ending managed hosting does not affect your paid deliverables or your right to request the source code.
• Exported source code is a project snapshot and may need configuration before it runs in another environment.
• Your domain stays under your control. Where domain registration is needed, registrant and control arrangements are confirmed with you before purchase.

9. Governing Law

These Terms are governed by the laws of Estonia. Disputes will be resolved in Estonian courts.
